Terms of Service
1. Overview
These Terms govern your access to and use of the Spec macOS application, websites, and related services (the "Service") provided by Talos Automata, Inc. ("Spec," "we," "us"). By using the Service, you agree to these Terms.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service.
3. Account Registration and Security
You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.
4. Software License and Access
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the macOS app for your personal or internal business purposes. We reserve all rights not expressly granted.
5. Acceptable Use
- Do not use the Service in violation of any law or rights of others.
- Do not attempt to access data or accounts without authorization.
- Do not interfere with or disrupt the Service, including by reverse engineering or scraping.
- Do not upload malicious code or compromise security.
- Do not use the Service to create or disseminate unlawful, harmful, or misleading content.
6. Integrations and Third‑Party Services
You may choose to connect third-party accounts. Your use of those services is governed by their terms and policies. We are not responsible for third-party services. We act as your agent to access and process data from services you authorize, within scopes you permit.
7. Payment, Trials, and Refunds
If the Service includes paid features, fees, billing cycles, and taxes will be disclosed at purchase. Trials renew to paid subscriptions unless canceled before the trial ends. Except where required by law or our posted policy, fees are non-refundable.
8. Intellectual Property
We and our licensors own all right, title, and interest in the Service, including software, interfaces, documentation, and content provided by Spec. Trademarks, logos, and names are property of their respective owners. You grant us a license to host, process, and display content you submit solely to provide the Service.
9. AI and Automation Specific Terms
Local-first: Personal user data from connected accounts generally remains on-device. We do not store personal user data off device.
No training on API data: We do not permit LLM providers to train public models on your API data. Providers may retain limited operational logs (often up to 30 days) for abuse/fraud detection and reliability. This is separate from training.
Review outputs: AI may generate inaccurate or inappropriate outputs. Review before relying on them for critical decisions.
10. Confidentiality
Each party may access confidential information of the other. The receiving party will use such information only to fulfill these Terms and will protect it with reasonable care.
11. Privacy
Your use of the Service is subject to our Privacy Policy.
12. Feedback
If you submit feedback or suggestions, you grant Spec a perpetual, irrevocable, royalty-free license to use them without restriction.
13. Beta Features
Pre-release features identified as beta or experimental are provided as-is and may change or be discontinued.
14. Term and Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, present a security risk, or cause harm. Upon termination, your license ends and you must uninstall the app.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SPEC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO SPEC IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR $100 IF YOU DID NOT PAY ANYTHING.
17. Indemnification
You will indemnify and hold harmless Spec, its affiliates, and personnel from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.
18. Export and Sanctions Compliance
You will comply with all applicable export control, sanctions, and trade laws in your use of the Service.
19. Governing Law; Dispute Resolution
United States customers: New York law governs. Any dispute will be resolved by binding arbitration administered by the AAA under its Consumer Arbitration Rules, on an individual basis only. Class actions and jury trials are waived. Seat: New York, NY. You may opt out within 30 days by emailing support@withspec.com. Either party may seek injunctive or equitable relief to protect IP or prevent unauthorized access or misuse.
Non‑U.S. customers: If mandatory local consumer protection laws prohibit arbitration or class action waiver, disputes will be subject to the courts of your habitual residence and applicable mandatory laws.
Informal resolution: Before filing a claim, contact support@withspec.com and allow 30 days to try to resolve the dispute.
20. Changes
We may modify the Service or these Terms at any time. Material changes will be communicated via the app or email. Continued use after changes means you accept the updated Terms.
21. Enterprise Terms
If you have a separate written agreement with Talos Automata, Inc. (e.g., a master services agreement), that agreement governs to the extent of any conflict.
